Article 1 – Definitions

In these terms and conditions, the following definitions apply:

  • Cooling-off Period: the period within which the consumer can make use of their right of withdrawal.
  • Consumer: the natural person who is not acting in the exercise of a profession or business and enters into a distance contract with the entrepreneur.
  • Day: calendar day.
  • Long-term Transaction: a distance contract regarding a series of products and/or services, for which the supply and/or purchase obligation is spread over time.
  • Durable Data Carrier: any means that enables the consumer or entrepreneur to store information directed personally to them in a way that allows future consultation and unaltered reproduction of the stored information.
  • Right of Withdrawal: the possibility for the consumer to withdraw from the distance contract within the cooling-off period.
  • Model Form: the model form for withdrawal provided by the entrepreneur that a consumer can complete if they wish to make use of their right of withdrawal.
  • Entrepreneur: Mills Nutrients & Substrates, which offers products and/or services to consumers at a distance.
  • Distance Contract: a contract concluded within the framework of an organized system for distance selling of products and/or services by the entrepreneur, with the exclusive use of one or more means of distance communication up to and including the conclusion of the contract.
  • General Terms and Conditions: these General Terms and Conditions of the entrepreneur.

Article 3 – Applicability

  1. These general terms and conditions apply to every offer from Mills Nutrients and to every distance contract concluded between Mills Nutrients and the consumer.
  2. Before the distance contract is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated that the general terms and conditions can be inspected at Mills Nutrients and will be sent free of charge at the consumer’s request.
  3. If the distance contract is concluded electronically, the text of these general terms and conditions may be made available electronically in a way that allows the consumer to easily store it on a durable data carrier.
  4. If specific product or service conditions also apply in addition to these general terms and conditions, the consumer may always invoke the applicable provision that is most favorable to them.

Article 4 – The Offer

  1. If an offer has a limited validity period or is made subject to conditions, this will be explicitly stated in the offer.
  2. The offer is non-binding. Mills Nutrients is entitled to change and adjust the offer.
  3. The offer contains a complete and accurate description of the offered products and/or services. The description is sufficiently detailed to allow the consumer to make a proper assessment of the offer.
  4. All images and specifications in the offer are indicative and cannot be grounds for compensation or dissolution of the agreement. Product images are a true representation of the offered products, but color differences are possible.

Article 5 – The Agreement

  1. The agreement is concluded at the moment of acceptance by the consumer of the offer and fulfillment of the corresponding conditions.
  2. If the consumer has accepted the offer electronically, Mills Nutrients will immediately confirm receipt of the acceptance of the offer electronically.
  3. Mills Nutrients will take appropriate technical and organizational measures for the security of the electronic transfer of data and will ensure a secure web environment. If the consumer can pay electronically, appropriate security measures will be observed.

Article 6 – Right of Withdrawal

  1. When purchasing products, the consumer has the option to dissolve the agreement without stating reasons within 14 days. This cooling-off period starts on the day after receipt of the product by the consumer.
  2. During the cooling-off period, the consumer will handle the product and packaging with care. If the consumer makes use of their right of withdrawal, they will return the product with all accessories and, if reasonably possible, in its original condition and packaging, following the reasonable and clear instructions provided by Mills Nutrients.
  3. If the consumer wishes to make use of their right of withdrawal, they must notify Mills Nutrients within 14 days of receipt of the product. The consumer must then return the product within 14 days and may be asked for proof of shipment.

Article 7 – Costs in Case of Withdrawal

  1. If the consumer makes use of their right of withdrawal, they are responsible for the return shipping costs.
  2. If the consumer has paid any amount, Mills Nutrients will refund this amount as soon as possible but no later than 14 days after receipt of the returned product.

Article 8 – Exclusion of Right of Withdrawal

  1. The entrepreneur may exclude the consumer’s right of withdrawal for products as described in paragraphs 2 and 3, provided that this is clearly stated in the offer.
  2. Exclusion of the right of withdrawal is possible for products that are personal or cannot be returned due to their nature, perishable, or aging quickly.

Article 9 – Price

  1. During the validity period stated in the offer, the prices of the offered products will not be increased, except for price changes due to changes in VAT rates.
  2. All prices include VAT and other taxes. Printing and typographical errors are reserved.

Article 10 – Conformity and Warranty

  1. Mills Nutrients guarantees that the products comply with the contract and the specifications stated in the offer. No additional guarantees are provided beyond the consumer’s statutory rights.
  2. Any defects must be reported in writing within 4 weeks of delivery. Products must be returned in original packaging and condition.

Article 11 – Delivery and Execution

  1. Mills Nutrients only delivers products after receipt of payment.
  2. Orders are processed in compliance with the following delivery times:
    • Netherlands: 1 – 2 business days
    • Northern Europe: 2 – 4 business days
    • Southern Europe: 3 – 6 business days
    • Outside Europe: 7 – 14 business days
  3. If delivery is delayed, the consumer will be informed no later than 30 days after ordering, and they have the right to dissolve the agreement free of charge.
  4. The risk of damage and/or loss of products lies with Mills Nutrients until the moment of delivery.

Article 12 – Payment

  1. The amounts due from the consumer must be paid before products are shipped. Mills Nutrients accepts payments via iDeal, P24, EPS, Bancontact, Giropay, Belfius, Klarna, and credit cards.
  2. The consumer is required to immediately report any inaccuracies in the provided payment details.

Article 13 – Complaints Procedure

  1. Mills Nutrients has an adequately publicized complaints procedure and handles complaints according to this procedure.
  2. Complaints about the execution of the contract must be submitted to Mills Nutrients fully and clearly described within 7 days.
  3. Submitted complaints will be answered within 14 days. If a complaint requires longer processing time, the consumer will receive a message with an indication.

Article 14 – Disputes

  1. Only Dutch law applies to agreements between Mills Nutrients and the consumer to which these general terms and conditions apply.
  2. The Vienna Sales Convention does not apply.

Article 15 – Additional or Deviating Provisions

Additional or deviating provisions may not disadvantage the consumer and must be recorded in writing.
